These General Terms of Sale (GTS) govern all offers, orders and services provided by AGICA. Specific conditions may apply and take precedence over these GTS in case of conflict.
AGICA’s services constitute best-efforts obligations, unless otherwise expressly stated in the engagement contract. The client undertakes to provide information, access and decisions in a timely manner; any delay on their part extends deadlines accordingly.
Prices are quoted in CHF, excluding VAT and expenses. Travel costs are recharged at actual cost with prior agreement. Monthly invoicing is payable within 30 days. Late payments incur interest at 5% per annum.
Deliverables are deemed accepted in the absence of written objection within 10 business days of delivery. AGICA will correct any substantial discrepancies identified within this period at no additional charge.
Either party may terminate the contract in writing with 15 days’ notice, in accordance with art. 404 CO. The minimum 3-month commitment for retainer engagements is specified in the proposal.
The client agrees not to directly solicit AGICA’s employees or subcontractors involved in the engagement for a period of 12 months following the end of the engagement.
These GTS are governed by Swiss law. The courts of Geneva shall have exclusive jurisdiction.
